Statutory Consultant

Gauteng with travel necessary as required, Permanent | Full Time, EE/AA – Non EE/AA
Remuneration dependent on experience

Technical Competencies

Please ensure that you meet the educational criteria and have the relevant experience

  • Practical knowledge and understanding of the requirements of Companies Act and regulations, Corporate Governance standards, and JSE Listing Requirements
  • Cloud based company secretarial administration software preferably Greatsoft / Esec
  • Well versed in Google Suite, MS Office and E-Sec with the ability to compile, analyse and present facts and recommendations
  • Strong interpersonal skills and EQ
  • Well-organised, able to multitask, work under pressure, function independently as well as part of a team
  • Accuracy, attention to detail and strong administration skills with the ability to take initiative
  • Professional conduct with the ability to communicate effectively coupled with excellent writing skills
  • Exhibit high performance work ethic and culture

Desired Experience & Qualification

Education/Experience (NOT NEGOTIABLE):

  • Minimum 7 years’ experience in the corporate governance secretarial environment
  • Thorough understanding of the Companies Act with a keen interest in statutory administration
  • A Tertiary Qualification in Law or a Business Degree

Duties & Responsibilities

Take on clients and gap analysis.

  • Conducting statutory audits on new and existing client records
  • Formulating appropriate recommendations to resolve statutory audit findings or non compliance
  • Upload of client data onto cloud based company secretarial software (preferably on Greatsoft / E-Sec)
  • Reconstruction of historical records where required

Overall maintenance of client statutory records (electronic and / or physical)

  • Timeous processing of statutory instructions from clients
  • Lodgement of statutory changes with CIPC within specified time frames
  • Ensuring client statutory registers are up to date with the relevant authorities (Companies / Trusts)
  • Adhering to annual CIPC compliance requirements by meeting stated deadlines
  • Drafting of resolutions at board or shareholder level as required
  • Effective execution of all statutory administrative tasks

Formation and wind up of entities with the relevant authorities (Companies / Trusts)

  • Registration of new entities
  • Amendment to entities
  • Conversion of entities
  • Deregistration or dissolution of entities

Advise and assist with compliance matters related mainly to the company’s MOI, DOA, Companies Act and Listings Requirements.
Attend to other related duties in the capacity as Senior Statutory Consultant from time to time.
