Statutory Consultant

INDUSTRY JOB TITLE:

Corporate governance, training, advisory and statutory company secretarial services

JOB LOCATION:

Based in Gauteng with travel necessary as required

GENERAL DESCRIPTION:

The Statutory Consultant will support our FluidRock Statutory business activities by:

  • Working closely with the Statutory Team to be proactive in applying their statutory knowledge to Company Secretarial matters in context of current relevant legislation
  • Ensure that Statutory compliance is maintained for all clients
  • Collaborative interaction at operational level with the other divisions within FluidRock Governance Group
  • Embracing the High Performance Culture of FluidRock Governance Group
 

EDUCATION REQUIREMENTS:

  • A tertiary qualification in business, law or relevant discipline
  • Relevant experience in excess of 7 years in a similar role
 

OTHER qualifications, certifications, professional memberships, etc

  • Minimum 5 years’ experience in the corporate governance and or company secretarial environment
  • Thorough understanding of the Companies Act with a keen interest in statutory administration
 

KEY ACCOUNTABILITIES:

Statutory Services Support:

Take on and gap analysis;

  • Conducting statutory audits on new and existing client records
  • Formulating appropriate recommendations to resolve statutory audit findings or non compliance
  • Upload of client data onto cloud based company secretarial software (preferably on Greatsoft / E-Sec)
  • Reconstruction of historical records where required
 

Overall maintenance of client statutory records (electronic and / or physical);

  • Timeous processing of statutory instructions from clients
  • Lodgement of statutory changes with CIPC within specified time frames
  • Ensuring client statutory registers are up to date
  • Adhering to annual CIPC compliance requirements by meeting stated deadlines
  • Drafting of resolutions at board or shareholder level as required
  • Effective execution of all statutory administrative tasks
 

Formation and wind up of entities with the relevant authorities (Companies / Trusts);

  • Registration of new entities
  • Amendment to entities
  • Conversion of entities
  • Deregistration or dissolution of entities
 

Advise and assist with compliance matters related mainly to the company’s MOI, DOA, Companies Act and Listings Requirements

Attend to other related duties in the capacity as Senior Statutory Consultant from time to time

Process Support:

Adhere to FluidRock predetermined policies, processes and procedures as well as standards as and when required

  • Knowledge of and exposure to Google Suite
  • Familiar with working on Company Secretarial software packages, preferably on Greatsoft / E-Sec
  • Ability to simultaneously work on multiple sheets to ensure efficient tracking
  • Strict compliance with prescribed folder and document conventions
  • Well versed in navigating CIPC and Bizportal websites
  • Active participation in development and implementation of new and / or improved systems and processes
 

Reporting:

Well versed in Google suite, MS Office and E-Sec with the ability to compile, analyse and present facts and recommendations (Both internally and
externally)

  • Daily reporting by continuous updating of work in progress schedules
  • Weekly, monthly, and / or annual reporting
  • Statutory Audit reporting
 

Financial Management:

  • Understanding the set budgets and how to best achieve monthly targets
  • Have a firm grasp of statutory pricing and how to correctly quote clients for requested services
  • Have a good understanding of own client allocation and engagement terms
  • Regular updating of relevant schedules to ensure that engagement status is recorded and communicated effectively
  • Accurate tracking of work performed against set client retainers and and being able to identify if any retainers are no longer viable
  • Timeous and accurate billing to ensure monthly targets are met and credit notes are minimised
  • Directly contributing to achieving and / or exceeding set budgets by identifying new client opportunities
  • Effective communication with finance and other divisions to ensure intercompany billings are taken into account where necessary
 

Stakeholder Management:

  • Actively and directly contributing to maintaining a stakeholder management framework to support the Client Relationship Management process including
    ensuring effective use of Salesforce
  • Enable effective communication and information flow with all stakeholders (internal & external)
  • Build a trust relationship with all stakeholders, ensuring they are proactively and effectively engaged as required
  • Ensure that all FluidRock systems, policies, processes and changes thereto are understood and effectively communicated to any relevant stakeholders
  • Proactively creating and maintaining an effective stakeholder liaison network by for example attending relevant meetings and forums
  • Ensure all relationships with FluidRock are corporatised, for example formalising client engagements when needed
  • Dealing with Stakeholder queries by responding appropriately to for example requests from external auditors, bankers, shareholders, etc within the
    allocated time frame
